  2.        ARTISOFT(R), INC. ACQUIRES MODEM SHARING TECHNOLOGY

  4.       (TUCSON, AZ -- November 28, 1995) -- Artisoft, Inc. (Nasdaq: 
  5. ASFT) today announced it has acquired substantially all of the 
  6. assets of Synergy Solutions, Inc. in a cash transaction valued at 
  7. $1.3 million.  The principal assets acquired are modem sharing and 
  8. communications software which enable modem and phone line sharing 
  9. across a local area network.

  12. limited number of modems or phone lines is important to their 
  13. productivity.  The technology and products we have acquired from 
  14. Synergy provides an immediate foundation for delivering this

  17. variety of network technologies, and enable optimized use of

  19. intention to be more comprehensive in our approach to addressing 
  20. the communications requirements of workgroups in small and mid- 
  21. sized businesses, and the acquisition of the Synergy products and 
  22. technology is another step in this direction."

  55.       Synergy Solutions, Inc. was founded in October of 1992 to
  56. develop, market and support a line of network synchronous 
  57. communication products that would be easy-to-use and affordable 
  58. for network users.  Synergy's first product, Modem Assist Plus, 
  59. positioned Synergy as one of the early leaders in the network 
  60. modem sharing market.  Over time, Synergy developed several 
  61. complementary communication products including a data 
  62. communications package called INSYNC and the SS-554 and SS-558 
  63. multi-port serial cards.
  64.       Synergy Solutions was initially founded as a sales,
  65. marketing and support organization for the modem sharing 
  66. technology developed by Softwarehouse Corporation of California. 
  67. Softwarehouse developed and owned the core technology of Modem 
  68. Assist Plus and for the first two years Synergy licensed the 
  69. technology from Softwarehouse.  On January 1, 1995, Synergy and 
  70. Softwarehouse announced a merger of the two companies bringing all 
  71. of the technology under the Modem Assist Plus name.  The merger 
  72. between the two companies opened up several key strategic 
  73. relationships helping Synergy Solutions more than double 1994 
  74. revenues in 1995.
  75.       Synergy has been focused on two main objectives.  The first
  76. objective is to provide low-cost communication solutions that 
  77. operate with a wide variety of network technologies.  The second 
  78. objective is to provide Synergy customers with the best technical 
  79. support and customer service available in the industry.  During 
  80. the past three years Synergy has kept the Modem Assist Plus modem 
  81. sharing technology up-to-date with both network and desktop 
  82. operating systems by releasing several new upgraded versions at 
  83. prices that make sense.  Providing superior technical support by 
  84. telephone and through on-line services like CompuServe and the

  88.       Modem Assist Plus is a software solution that allows phone
  89. lines and modems to be shared across the LAN.  Modem Assist Plus 
  90. offers several cost-saving and productivity benefits.  Since Modem 
  91. Assist Plus can easily be set up as a dedicated or non-dedicated 
  92. communication server by using existing PCs modems and phone lines, 
  93. the initial investment to set up modem sharing is minimized.  The 
  94. true cost savings from using Modem Assist Plus are realized by 
  95. optimizing the use of leased telephone lines.  Modem Assist Plus 
  96. also enables users to increase their productivity because they can 
  97. use communications and fax software from their own desktop instead 
  98. of walking elsewhere to use a modem.
  99.       Version 4 is the third major release from Synergy and
  100. includes a Windows DDL Client, redirection of any Windows Fax of 
  101. data communication software, Windows and DOS modem menus, NetWare 
  102. and NetBIOS/NetBEUI support, dynamic INT14 and NASI support, 
  103. communication management console, inbound password protection, 
  104. activity logging, conference calling and automatic time-out. Modem 
  105. Assist Plus was named Networking Product of the Month in the July 
  106. 1994 issue of PC World.
  107.       In 1994 Synergy release their own line of multi-port serial
  108. cards based on the 16C554 UART chip.  The technology of this new 
  109. chip allowed Synergy to develop a very compact board, only four 
  110. inches square, that would support up to four external modems. 
  111. Because of its small size, the SS-558 is very easy to install -- 
  112. even in small footprint PCs that are crowded with other 
  113. peripherals.  The SS-554 can simultaneously support four channels 
  114. at speeds of 115,200 bps while using only one hardware interrupt. 
  115. In 1995 Synergy released their SS-558 multi-port serial card which 
  116. incorporates two 16C554 UART chips and supports up to eight 
  117. simultaneous external connections at speeds of up to 115,200 bps 
  118. and provided the option of using either one or two hardware 
  119. interrupts.
  120.       In early 1995, Synergy Solutions embarked on a strategic
  121. relationship with Cheyenne Software by incorporating a 5-user 
  122. license of Cheyenne's BitWare product into all copies of Modem 
  123. Assist Plus.  This bundle provides users of Modem Assist Plus with 
  124. the data communication and faxing capabilities of the award- 
  125. winning BitWare product.  Also as a result of Synergy/Cheyenne 
  126. relationship, Cheyenne Software released BitShare, a network modem 
  127. sharing product that shares up to four modems on a network.
